These Terms & Conditions (“Terms”) govern your use of our website and your purchase of or participation in coaching, educational, leadership development, professional development, courses, programs, workshops, and related services offered by Clear Direction Coaching, LLC (“Clear Direction Coaching,” “we,” “us,” or “our”).
By accessing our website, purchasing a service or offering, submitting payment, registering, enrolling, or participating in our services, you acknowledge that you have read, understood, and agree to these Terms.
1. SERVICES
Clear Direction Coaching, LLC provides coaching, educational, leadership development, communication, and professional development services for individuals, groups, and organizations.
Services may include, but are not limited to:

The scope, schedule, pricing, payment structure, deliverables, access, participation requirements, and other terms may vary depending on the service or offering purchased.
Additional terms may be provided at the time of purchase, registration, enrollment, booking, or through a separate written agreement. Those terms will apply to the applicable service or offering in addition to these Terms.
2. CLIENT RESPONSIBILITIES
By purchasing or participating in our services, you agree to:

Provide accurate and complete information when requested.

Participate actively and respectfully in coaching sessions, courses, workshops, and programs.

Take responsibility for your own decisions, actions, participation, and implementation.

Respect the privacy and confidentiality of other participants.

Attend scheduled sessions and program activities as applicable.

Maintain the technology, internet connection, and equipment necessary to participate in virtual services.

Use Clear Direction Coaching materials only for their intended personal or authorized professional use.

Comply with any additional requirements communicated for the specific service or offering purchased.
Clear Direction Coaching reserves the right to remove a participant whose behavior is disruptive, abusive, threatening, unlawful, or substantially interferes with the experience of other participants.
3. PAYMENT TERMS
Unless otherwise stated in writing, payment is required before coaching services, courses, programs, or other services begin.
Pricing, payment options, payment plans, deposits, and other applicable payment terms will be provided at the time of registration, booking, purchase, enrollment, or invoicing.
If a payment plan is offered, the client is responsible for making payments according to the agreed payment schedule.
A payment plan represents an agreed payment arrangement for the applicable purchase unless otherwise stated in writing.
If a scheduled payment is declined, returned, or not received when due, Clear Direction Coaching reserves the right to suspend coaching sessions, participation, access to materials, online resources, or other services until the outstanding balance is resolved.
Participation in a service or offering does not eliminate the client's responsibility for an outstanding balance under an agreed payment arrangement.
4. CANCELLATION, REFUNDS, AND RESCHEDULING
Cancellation, refund, rescheduling, transfer, withdrawal, and credit policies may vary depending on the service or offering purchased.
Any terms that apply to a specific service or offering will be communicated at the time of purchase, registration, enrollment, booking, or through a separate written agreement.
Clients are responsible for reviewing the applicable terms before completing a purchase, registration, or enrollment.
5. NO-SHOWS AND MISSED SESSIONS
Clients and participants are responsible for attending scheduled sessions and activities associated with the services they purchase.
The treatment of missed sessions, cancellations, makeup sessions, credits, recordings, alternative dates, or rescheduling will depend on the terms applicable to the specific service or offering.
Any applicable policies regarding missed sessions or activities will be communicated as part of the applicable service or offering.
6. CHANGES, CANCELLATIONS, OR RESCHEDULING BY CLEAR DIRECTION COACHING
Clear Direction Coaching reserves the right to reschedule, modify, postpone, or cancel a coaching session, class, workshop, program session, or other service when reasonably necessary.
When possible, affected clients or participants will be notified and provided with information regarding the rescheduled date, replacement session, credit, refund, or other available option.
If Clear Direction Coaching permanently cancels a paid service or offering without providing the purchased service or a reasonable replacement, any applicable refund or credit will be handled according to the terms applicable to that service or offering.
7. DIGITAL PRODUCTS, COURSE MATERIALS, AND RESOURCES
Digital products, downloadable materials, recorded content, templates, worksheets, presentations, videos, and other digital resources may be subject to additional terms provided at the time of purchase or access.
Clients and participants are responsible for ensuring that they have the necessary technology, internet connection, software, and equipment to access digital materials and virtual services.
8. CONFIDENTIALITY
Clear Direction Coaching respects the privacy of its clients and participants and will use reasonable care when handling information shared during coaching engagements.
Information will not be intentionally disclosed to third parties except when authorized by the client, reasonably necessary to provide the requested services, or required or permitted by applicable law.
Participants in group coaching, courses, workshops, or other group environments are expected to respect the confidentiality of other participants.
Participants may not record, publish, reproduce, distribute, or publicly disclose another participant's personal information, experiences, statements, or discussions without that person's permission.
While Clear Direction Coaching requires participants to respect confidentiality, we cannot guarantee that another participant will comply with these obligations.
9. INTELLECTUAL PROPERTY
Unless otherwise stated, all original materials provided by Clear Direction Coaching, LLC, including worksheets, presentations, videos, recordings, exercises, frameworks, templates, written content, training materials, program materials, graphics, and educational resources, are owned by Clear Direction Coaching, LLC or used with appropriate permission.
Purchasing a service or offering does not transfer ownership of these materials to the client.
Clients receive a limited right to use materials for their own personal or authorized professional development.
Materials may not be copied, reproduced, sold, licensed, distributed, published, uploaded, shared with nonparticipants, or used to create competing courses, coaching programs, training materials, products, or services without prior written permission from Clear Direction Coaching, LLC.
10. RECORDING OF SESSIONS AND PROGRAMS
Clients and participants may not independently record coaching sessions, classes, workshops, group discussions, or other program activities without prior permission.
If Clear Direction Coaching intends to record a group session, class, workshop, or program, participants will be informed as appropriate.
Any use of a participant's image, voice, testimonial, or identifiable statements for marketing purposes will be subject to applicable permissions and applicable law.
11. COACHING AND EDUCATIONAL DISCLAIMER
Clear Direction Coaching provides coaching, education, professional development, strategies, resources, and support.
Coaching is a collaborative process and does not guarantee any particular personal, professional, employment, business, financial, leadership, or career result.
Individual results vary based on numerous factors, including participation, circumstances, effort, decision-making, implementation, experience, and factors outside the control of Clear Direction Coaching.
Clients remain solely responsible for their own decisions, actions, and results.
Unless expressly provided through a properly qualified professional under a separate engagement, Clear Direction Coaching's coaching services are not legal, medical, mental health, tax, investment, or financial advice and should not be treated as a substitute for services from an appropriately licensed professional.
12. EMPLOYMENT, CAREER, AND BUSINESS RESULTS
Clear Direction Coaching does not guarantee employment, job offers, promotions, salary increases, business revenue, clients, contracts, speaking engagements, career advancement, or other specific outcomes resulting from coaching or participation in a service or offering.
Examples, testimonials, or client experiences shared by Clear Direction Coaching represent individual experiences and should not be interpreted as a guarantee that another participant will achieve the same or similar results.
13. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Clear Direction Coaching, LLC will not be responsible for losses or damages resulting solely from decisions or actions taken by a client or participant based on coaching, educational content, program materials, or other services.
To the fullest extent permitted by applicable law, any liability of Clear Direction Coaching, LLC arising from a specific purchased service will be limited to the amount actually paid by the client for the service giving rise to the claim.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
14. PRIVACY AND DATA COLLECTION
Clear Direction Coaching may collect personal information necessary to:

Clear Direction Coaching may use third-party platforms and service providers to deliver services, including website, scheduling, payment processing, email, video conferencing, community platforms, course delivery, and other technology providers.
Clear Direction Coaching is not responsible for temporary outages, technical problems, or service interruptions caused by third-party platforms or a participant's device, internet connection, software, or equipment.
When a technical issue materially affects a service controlled by Clear Direction Coaching, reasonable efforts will be made to provide an appropriate alternative when feasible.
16. TECHNOLOGY, AI, AND DIGITAL SECURITY
Clear Direction Coaching may use technology tools, including artificial intelligence (AI)-enabled tools, software, online platforms, and third-party service providers to support business operations, communications, content development, education, customer service, scheduling, and service delivery.
Information submitted through the website or services may be processed or stored by third-party technology providers in accordance with their applicable terms, privacy policies, and security practices.
Clients and participants should avoid submitting confidential, sensitive, financial, health, legal, or other highly sensitive information through AI tools, public forms, or third-party platforms unless specifically instructed or authorized to do so.
Clear Direction Coaching takes reasonable measures to protect information within its control but cannot guarantee the security of information transmitted through the internet or third-party technology platforms.
Clear Direction Coaching is not responsible for security incidents, data breaches, outages, or unauthorized access resulting from circumstances outside its reasonable control or involving third-party technology providers.
17. GOVERNING LAW
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles.
Any venue or dispute-resolution requirements should be interpreted in accordance with applicable law and any separate written agreement between Clear Direction Coaching and the client.
18. CHANGES TO THESE TERMS
Clear Direction Coaching, LLC may update these Terms & Conditions as its services, policies, technology, or legal requirements change.
The most current version will be posted on the Clear Direction Coaching website with the applicable effective date.
Changes will apply prospectively unless otherwise permitted or required by law.
